These terms explain what you are buying from Auxaris, how payment and delivery work, and what happens if either of us needs to cancel.

1. Who these terms are with
Auxaris is a trading name used by the sole trader operating this website.
Legal name: Andrew David Brian Bandy trading as Auxaris

You can contact Auxaris at info@auxaris.co.uk. These terms apply to services bought directly from Auxaris, including the Business Healthcheck. A separate written proposal, statement of work or contract may contain additional or different terms for bespoke projects.
2. What you are buying
The £195 Business Healthcheck is a focused professional service. It includes the review described on the Business Healthcheck page, consideration of the information you provide, prioritised recommendations and a practical next-step plan.
The £195 fee does not include implementation work, website development, software licences, third-party services, ongoing consultancy or other delivery unless we expressly agree that in writing.
Auxaris provides practical business and digital consultancy. Unless expressly agreed otherwise, we do not provide legal, tax, accounting, investment or other regulated professional advice.
3. Ordering and contract formation
For a Business Healthcheck bought online, a contract is formed when your Stripe payment is successfully completed and confirmed. For bespoke services, a contract is formed when we confirm acceptance of the agreed proposal or scope and any required deposit has been paid.
Before you pay, the service description, total price and the main steps in the buying process will be shown to you. The Healthcheck is a one-off purchase and does not create a subscription.
4. Price and payment
The Business Healthcheck costs £195 in total unless we clearly agree a different price with you before payment. Payment is taken securely through Stripe. Auxaris does not receive or store your full card details.
For larger or bespoke projects, we may use staged payments, deposits, Stripe invoices or bank transfer. The payment schedule will be stated in the relevant proposal or invoice before you commit.
5. Your responsibilities
You agree to provide information that is accurate to the best of your knowledge and to give us reasonable access to the context, systems or documents needed for the agreed work. Recommendations are based on the information available to us at the time.
You remain responsible for decisions you make about your business and for checking whether specialist legal, tax, accounting, security or other regulated advice is needed before acting.
6. Timing and delivery
After payment, we will contact you to arrange the Healthcheck and gather any remaining context. Any specific meeting or delivery date will be agreed with you. Where no specific completion date has been agreed, we will provide the service within a reasonable time.
If circumstances outside our reasonable control cause a delay, we will tell you as soon as reasonably possible and work with you on a revised timetable.
7. Consumer cancellation rights
If you are buying as an individual for purposes wholly or mainly outside your trade, business, craft or profession, you may be a consumer. Where the UK distance-selling cancellation rules apply, you normally have 14 days from the day the contract is entered into to cancel without giving a reason.
To cancel, email info@auxaris.co.uk with a clear statement that you wish to cancel, identifying the service and the email address used for the booking.
If you ask us to begin providing the service before the 14-day cancellation period has ended, we will obtain your express request before substantive work begins. If you then cancel after work has started, you may have to pay a reasonable amount for the service supplied up to the point of cancellation. If the service has been fully performed after your express request and acknowledgement, your statutory right to cancel can end at that point.
Nothing in these terms limits any cancellation or other consumer right that the law gives you.
8. Cancellation by business customers
If you are buying wholly or mainly for your trade, business, craft or profession, the statutory consumer cooling-off right does not apply. Unless a separate proposal says otherwise, if you cancel a Healthcheck before substantive work has started, we will refund the amount paid. If work has already started, we may deduct a reasonable amount reflecting work already completed and refund the balance.
9. Rescheduling
If you need to move an arranged meeting, contact us as soon as possible. We will make reasonable efforts to reschedule without charge. If repeated or very late changes create material costs for bespoke work, we will discuss any proposed charge with you before it is incurred.
10. If Auxaris cancels
If we cannot provide a paid service and no reasonable alternative can be agreed, we will refund the part of the service that has not been supplied. If we have not begun the service, that will normally mean a full refund.
11. Refunds
Where a consumer validly exercises a statutory right to cancel, or where we otherwise agree that a refund is due, we will process it without undue delay and, where the statutory distance-selling rules apply, within the required legal timeframe. Refunds will normally be made using the same payment method used for the original transaction unless you expressly agree otherwise.
12. Service standards and your statutory rights
We will provide our services with reasonable care and skill. Information we give you about the service that you rely on when deciding to buy may form part of the contract. Nothing in these terms excludes or restricts rights or remedies that cannot legally be excluded.
13. Recommendations and outcomes
Consultancy involves judgement, prioritisation and recommendations. We do not guarantee a particular commercial, financial, technical or operational outcome from following a recommendation. We are responsible for providing the agreed service with reasonable care and skill, not for guaranteeing a particular business result.
14. Intellectual property
You may use the Healthcheck report and recommendations internally within your business. Your own information, materials and existing intellectual property remain yours. Auxaris retains ownership of its pre-existing methods, templates, frameworks, know-how and reusable materials unless we agree otherwise in writing.
15. Confidentiality
We will treat non-public business information you provide as confidential and use it only as reasonably necessary to deliver the service, operate our business, comply with the law or protect legitimate legal rights. Our handling of personal information is also covered by the Privacy Policy.
16. Liability
Nothing in these terms excludes liability where the law does not allow it to be excluded, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence. We do not seek to exclude your statutory consumer rights.
Where you are a business customer, we are not responsible for indirect or consequential losses that were not reasonably foreseeable when the contract was made, unless a separate written agreement says otherwise or the law does not permit that exclusion.
17. Complaints
If something has gone wrong, email info@auxaris.co.uk and explain the issue. We will review it fairly and aim to respond promptly with a practical proposed resolution.
18. Changes to these terms
We may update these terms for future bookings. The version that applies to your purchase is the version in force when your contract is formed, unless we both expressly agree a later change.
19. Cancelling in one sentence
Email info@auxaris.co.uk and say: “I want to cancel my Auxaris service.” Include your name, booking email and the service purchased so we can identify the contract.
